2.7 - Council Nominations and Governance Committee

The Deputy Chancellors
The Vice-Chancellor
The President of the Academic Board
The Chairperson of the Building and Estates Committee
The Chairperson of the Finance Committee
The Chairperson of the Legislation and Trusts Committee

The Committee may co-opt additional Council members or Council Fellows as necessary, , either for the full year or to assist in dealing with particular issues. The Committee is to ensure that it includes at least two legally qualified members of Council when considering matters related to amendments to the University of Melbourne Act 2009 or to University statutes, regulations or the Standing Resolutions of Council.

  1. FUNCTIONS AND TERMS OF REFERENCE

The functions of the Council Nominations and Governance Committee are -

  1. To act as the selection panel for the shortlisting and recommendation of candidates for the Minister’s consideration for Ministerial and Governor-in-Council appointments to Council;
  2. To act as a selection panel for recommendation of candidates for Council’s own appointments to membership of Council;
  3. To act as the selection panel to consider recommendations for reappointments in both the above categories;
  4. To advise Council on any policy matters regarding the membership of Council;
  5. To advise Council on matters relating to the overall governance of the University, and to ensure that it adheres to good governance principles and practice;
  6. To review regularly the operating procedures of Council, including its committee structures, standing orders, standing resolutions and annual cycle of business;
  7. To advise Council on any proposed amendments to the University of Melbourne Act 2009;
  8. To advise Council on any proposed University statutes or regulations, or amendments to existing legislation, as may be referred to the committee for that purpose;
  9. To advise Council on the making of or amendment to key University policies dealing with governance related matters as may be referred to the committee for that purpose;
  10. To monitor and approve the governance arrangements, and any amendments to such arrangements, of Faculties, Graduate Schools and Semi-autonomous Bodies (established under Statute 5.1 and 8.1 respectively) on behalf of Council; and
  11. To advise on any other governance issues referred to it by Council.
  1. REPORTING

The Committee will report to Council annually, or more frequently as requested by Council –

  1. on conformance of University practices with good governance principles, taking account of any government policies in relation to university governance that might be in place from time to time, and
  2. on any skills and expertise identified as necessary for Council to operate effectively for the future.
