Recitals
- By section 18 of the Melbourne University Act1958 power is conferred on the University to make and alter statutes for the affiliation to or connection with the University of any college or educational establishment subject to certain conditions set out in that section.
- The Austin Research Institute ("the Institute"), a company limited by guarantee, was incorporated under the provisions of the Corporations Law on 1 June 1990 and its objects include the following-
- to conduct research by all such means as may be thought to be advisable and to set up, equip and maintain on land belonging to the Company or on land belonging to others and either alone or jointly with any corporation, institution or person such laboratories, offices or other buildings and such apparatus as from time to time is considered necessary or convenient;
- if it is thought desirable by the Board of Directors of the Company ("the Board") in its absolute discretion and subject to such by-laws made from time to time by the Board, to teach and instruct all persons desirous of acquiring knowledge in the subjects which may be under investigation by the Company and for that purpose to deliver lectures and to arrange demonstrations, clinical or otherwise.
- By an agreement dated 18 June 1997 the Institute and the University have agreed to the affiliation of the Institute to the University.
- The Institute has consented to the provisions of this statute.
Affiliation of the Institute
9.36.1 (1) The Institute is an educational establishment affiliated to the University for the purposes of-
- promoting and assisting the teaching and training of undergraduate and postgraduate students of the University;
- promoting and assisting the training of the staff of the Institute;
- promoting co-operation between staff of the Institute and University staff in teaching, training and research in areas of common interest; and
- promoting and encouraging appropriate interaction between members of staff of the Institute and members of staff of the University and providing facilities therefor.
(2) Nothing in this statute requires the University to bear any part of the cost of provision of facilities for teaching or research work in any of the Institute's activities.
(3) This affiliation ceases on the termination of the agreement referred to in recital 3.
