Statute 8.1 - Semi-Autonomous Bodies

Interpretation

8.1.1
  1. In this statute, unless the contrary intention appears-

“semi-autonomous body” means a department of the University, whether or not constituted within a faculty or other division of the University, where control and management are exercised by or under the direction of a board on behalf of Council, subject to any specific direction of Council.

 

Establishment of semi-autonomous bodies

8.1.2
  1. Council may establish semi-autonomous bodies for the purposes of organising the non-academic activities of the University.
  2. Nothing in this statute affects the existence of a semi-autonomous body as reflected in any regulation made under this statute where that body was created as a non-academic department under previous legislation of the University.

 

Governance of semi-autonomous bodies

8.1.3
  1. For each semi-autonomous body, Council must determine its name and purposes by regulation, and must endorse and monitor its proposed governance arrangements including the terms of reference of its board. To obtain Council’s endorsement, those arrangements must include provisions deemed appropriate by Council, including the following:
    1. a board which must include one or more persons appointed by Council, the vice-chancellor or nominee, and at least two external persons with expertise relevant to the activities of the body, and, where students are an interested party, a student nominee;
    2. an executive officer, however titled and appointed in such manner as Council may determine, who will be head of the body and who, subject to the direction of the board, will manage and be responsible to the board and to the vice-chancellor (or to his delegate for that purpose), for the affairs of the body; and
    3. an arrangement whereby operational and financial reports are submitted regularly to Council, or to an officer or committee authorised for the purpose by Council.
  2. In order to enable Council to monitor the approved governance arrangements for each semi-autonomous body as provided in subsection (1), the head of such body must report to Council any material changes to its governance structure and practice.
  3. In addition to any powers and duties conferred upon semi-autonomous bodies by any other statute or by regulation, each semi-autonomous body must publish, in a form approved by the university secretary accessible throughout the University, details of the terms of reference, membership and frequency of meetings of its board.
