Prerequisite: 308-101 Introduction to Business Law or 308-121 Law of Business Transactions.
Contact: Two 1-hour lectures and a 1-hour tutorial a week.
Timetable: First semester
Objectives:
Through work undertaken in this subject students should:
- obtain a general overview of the Australian corporations law;
- have a working knowledge of the main statutory provisions of, and main case law relevant to, that law;
- have acquired skills in analysing fact situations with corporations law consequences and considering the application of that law to them.
Content:
A survey of the law governing the formation, regulation, and termination of companies formed under state and federal law. Analyses of the internal controls on company management and their effects upon outsiders, regulation of the raising of capital and the securities markets.
Assessment:
A 2-hour end-of-semester examination.
