Constitution of the Board
4.1.1 The Board comprises-
- the Chancellor;
- the vice-chancellor;
- the deputy-chancellors;
- the deputy vice-chancellors (including any deputy vice-chancellor appointed as provost);
- the pro vice-chancellors;
- the senior vice-principal, the head of university services and the vice-principal (information);
- the academic registrar;
- the professors;
- the full-time salaried professorial fellows;
- deans of faculties;
- heads of academic departments;
- heads of schools;
- the president and the education officers of UMSU and either the president of UMPA or the president's nominee
- two members elected by and from the professionall staff who will hold office for a term of two years; and
- any other persons whom the Board determines.
Duties and powers of the Board

(1) |
In addition to the duties and powers imposed or conferred on
the Board by the Act, the Board is responsible to the Council for-
- the supervision and development of all academic activities of the University, including the maintenance of
high standards in teaching and research; and
- communication with the academic community through the faculties
and departments.

(2) |
Consistent with the generality of sub-section (1), the Board
must-
- provide the Council with any information required by the
Council;
- act as the final appeal body within the University in all
matters relating to students and their grievances against
decisions made by University bodies or by individual officers
and relating to persons who have ceased to be students because
of the decision complained of;
- consider any reports submitted to it by any faculty, department,
school or other body;
- exercise the powers and perform the duties of a faculty for all courses not pertaining to or assigned for administrative purposes to any faculty; and
- exercise any other powers or perform any other duties conferred
or imposed on the Board by any other statute or by any resolution
of the Council.

Election of officeholders

(1) |
The Board must elect annually three of its members to be president,
vice-president and deputy vice-president respectively for the
ensuing calendar year. |

(2) |
A person elected under the preceding sub-section is eligible
for election as president, vice-president or deputy vice-president
in any subsequent year. |
Casual vacancies
| 4.1.4 |
(1) |
A member of the Board, including any member holding office
under section 4.1.3, may be elected to fill a casual vacancy
occurring in the office of president, vice-president or deputy
vice-president. |

(2) |
A member elected under sub-section (1) holds office for the
remainder of the calendar year in which the casual vacancy occurs. |
Delegation of powers
| 4.1.5 |
(1) |
Subject to this section, the Board may by resolution
delegate any of its powers and duties to any member of the Board
or to any committee appointed by the Board. |

(2) |
The Board may not delegate-
- any of the powers and duties conferred upon it by paragraphs
28(2) (a) and (b) of the Act; or
- the power of delegation conferred upon it by this section.

(3) |
If a delegation is inconsistent with any other resolution
of the Board, the delegation is invalid to the extent of the inconsistency. |
Board meetings
| 4.1.6 |
(1) |
Subject to section 12 of Statute 5.4, the Board meets-
- when the Board considers a meeting is necessary for the
conduct of business; or
- when convened at the discretion of the president of the
Board; or
- when requested by the Chancellor, the vice-chancellor or
ten other members of the Board.

(2) |
A request under paragraph (1)(c) must
be made in writing to the academic registrar. |
| |
(3) |
Notwithstanding sub-section (1), the
Board must meet not less than once each semester. |
Quorum
| 4.1.7 |
Subject to these statutes, the quorum for any meeting
of the Board is twelve members.1 |
Vice-chancellor may preside at meetings
| 4.1.8 |
(1) |
The vice-chancellor may preside at meetings of the
Board. |

(2) |
If the vice-chancellor does not wish to preside
at a meeting, the president of the Board or, in the absence of
the president, the vice-president or, in the absence of the vice-president,
the deputy vice-president or, in the absence of the deputy vice-president,
another member elected by the members present is to preside. |
Publication of Board resolutions
| 4.1.9 |
The academic registrar must make available to all students, on enrolment and re-enrolment, all Board resolutions containing information which directly affects students. |
